1. Acceptance of Terms

By accessing and using LinkUp! (the "Platform"), you agree to comply with and be bound by these Terms of Service (the "Terms"). If you do not agree with these Terms, you may not use the Platform.

2. Scope of Agreement

These Terms constitute a binding agreement between you and LifeVitae Pte. Ltd. ("LifeVitae," "we," or "us") and govern your use of the Platform. These Terms include our Privacy Policy and any other terms and conditions posted on the Platform.

3. Registration Obligations

To use certain features of the Platform, you must register and create an account. You agree to provide accurate and complete information during registration and to update your information as necessary. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. Use of Platform Content and Materials

LifeVitae grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform, except as authorized in these Terms.

5. User Conduct

You agree not to use the Platform to:
  • Post or transmit any content that is unlawful, harmful, defamatory, abusive, harassing, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform.

6. User Content

By posting content on the Platform, you grant LifeVitae a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Platform. You represent and warrant that you have the rights to grant this license.

7. Termination

LifeVitae reserves the right to suspend or terminate your account and access to the Platform at any time, for any reason, without notice. You may also terminate your account at any time. Upon termination, your right to use the Platform will immediately cease, and LifeVitae may delete your account and content.

8. Indemnity

You agree to defend, indemnify, and hold harmless LifeVitae and its officers, directors, employees, and agents from and against any claims, actions, or demands, including without limitation, reasonable legal and accounting fees, arising out of your use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

9. Limitation of Liability

In no event shall LifeVitae be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Platform.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore and India, without regard to its conflict of law principles.

11. Changes to Terms

LifeVitae reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform after such changes are posted will constitute your acceptance of the new Terms.
